Theratechnologies shareholders approve Future Pak acquisition plan

Theratechnologies Inc. (NASDAQ: THTX) announced that shareholders approved a plan of arrangement for the company's acquisition by CB Biotechnology, LLC, an affiliate of Future Pak, LLC.
At a special shareholder meeting held September 12, the arrangement resolution received approval from 97.44% of votes cast by shareholders present or represented by proxy. When excluding votes required to be excluded under Multilateral Instrument 61-101, the approval rate was 97.43%.
The Montreal-based biopharmaceutical company said the proposed arrangement remains subject to customary closing conditions, including a final order from the Superior Court of Québec. A hearing for this approval is expected to take place on September 16, 2025.
Future Pak, founded in 1977 and headquartered in Wixom, Michigan, operates as a privately held contract manufacturer, packager and distributor of pharmaceutical and nutraceutical products. The company serves retail, specialty and institutional markets.
Theratechnologies describes itself as a commercial-stage biopharmaceutical company focused on commercializing therapies. The company's shares trade on both the Toronto Stock Exchange and NASDAQ.
