Southwest shareholders approve Prosperity BANCSHARES acquisition

Southwest Bancshares shareholders have approved the proposed merger with Prosperity Bancshares, Inc. (NYSE: PB), according to a joint announcement from both companies on January 22, 2026.
The transaction involves Southwest merging with Prosperity, with Prosperity as the surviving corporation, followed by Texas Partners Bank merging into Prosperity Bank. The Board of Governors of the Federal Reserve System, the Federal Deposit Insurance Corporation, and the Texas Department of Banking have approved the transaction.
All required regulatory and shareholder approvals have been obtained, and the companies expect to complete the transaction on February 1, 2026, subject to satisfaction of remaining customary closing conditions in the merger agreement.
Prosperity Bancshares, based in Houston, Texas, reported $38.33 billion in assets as of September 30, 2025. The company operates 301 full-service banking locations across Texas and Oklahoma, providing personal banking services and investments to consumers and businesses.
Southwest Bancshares, founded in San Antonio in 2006, serves as the holding company for Texas Partners Bank. Texas Partners Bank reported $2.52 billion in assets as of September 30, 2025, and operates 11 banking locations in Texas communities including San Antonio, Austin, New Braunfels, Kerrville, Fredericksburg, and Bandera.
