Rezolve Ai completes $250 million financing round

Rezolve Ai (NASDAQ: RZLV) completed a $250 million registered direct financing that the company said was oversubscribed, according to a press release statement. The AI commerce platform provider said the funding came from returning institutional investors and new long-term holders.

The company plans to use proceeds to advance its mergers and acquisitions strategy, support enterprise customer rollouts globally, and scale infrastructure capacity. Rezolve Ai also said the financing will help maintain balance sheet strength while pursuing growth initiatives.

"This financing represents a clear vote of confidence from sophisticated institutional investors who understand both the scale of the opportunity and our ability to execute," said Daniel M. Wagner, Chairman and Chief Executive Officer of Rezolve Ai.

A.G.P./Alliance Global Partners served as lead placement agent for the offering, with Titan Partners and Maxim Group LLC as co-placement agents. Cantor Fitzgerald & Co., Roth Capital Partners, and Northland Capital Markets acted as financial advisors.

The offering was completed under an effective shelf registration statement filed with the Securities and Exchange Commission on December 19, 2025. Rezolve Ai provides AI-driven commerce technology for retailers and brands, including search, personalization, checkout, and omni-channel engagement solutions.

The company said it has partnerships with Microsoft, Google, and Tether. Rezolve Ai operates in what it describes as the global retail market.
