FingerMotion board approves preliminary dividend warrant plan

FingerMotion, Inc. (NASDAQ: FNGR) announced that its board of directors has preliminarily approved a dividend of warrants to purchase shares of the company's common stock for existing shareholders.
The Singapore-based company stated that the specific terms of the dividend warrants, including record and payment dates, will be determined through a subsequent board resolution. The warrants are expected to be created through a warrant agreement with an institutional warrant agent.
FingerMotion plans to file a Form S-3 registration statement with the Securities and Exchange Commission to register both the dividend warrants and underlying common shares under the Securities Act of 1933. The company also intends to apply for listing of the dividend warrants and underlying shares on the Nasdaq Capital Market.
The dividend declaration is expected to occur after the SEC completes its review process, subject to market conditions and other factors. The company noted that the announcement was made in accordance with Rule 135 under the U.S. Securities Act.
