Charter Communications, Inc. (NASDAQ: CHTR) today announced that its subsidiaries, Charter Communications Operating, LLC ("CCO") and Charter Communications Operating Capital Corp., have closed their offering of
$1.5 billion in aggregate principal amount of Senior Secured Notes due 2029 (the "2029 Notes"). The 2029 Notes bear interest at a rate of 6.100% per annum and were issued at a price of 99.944% of the aggregate principal amount.$1.5 billion in aggregate principal amount of Senior Secured Notes due 2034 (the "2034 Notes" and, together with the 2029 Notes, the "Notes"). The 2034 Notes bear interest at a rate of 6.550% per annum and were issued at a price of 99.755% of the aggregate principal amount.
The Notes were issued pursuant to an effective automatic shelf registration statement on Form S-3 filed with the Securities and Exchange Commission ("SEC").
Barclays Capital Inc., Citigroup Global Markets Inc. and Morgan Stanley & Co. LLC were Joint Book-Running Managers for the senior secured notes offering. The offering was made only by means of a prospectus supplement dated
