Barnes & Noble delays quarterly filing

Barnes & Noble Education Inc. (NYSE: BNED) said it cannot file its quarterly report for the period ended November 1, 2025, within the required timeframe due to ongoing financial restatement work.

The company previously filed notices with the Securities and Exchange Commission indicating it could not timely file its annual report for the year ended May 3, 2025, on July 18, 2025, and its quarterly report for the period ended August 2, 2025, on September 12, 2025.

Barnes & Noble Education's board of directors determined that previously issued financial statements for the first three quarters of fiscal 2024, the annual report for fiscal 2024, and quarterly reports for the first three quarters of fiscal 2025 should no longer be relied upon. The company also said related disclosures, earnings releases, investor presentations and communications for these periods should not be relied upon.

The company expects to restate financial statements for these periods in its annual report for the fiscal year ended May 3, 2025. The final scope of the restatement will depend on completion of the audit committee's review and ongoing work with independent registered public accounting firms for fiscal 2024 and 2025.

Barnes & Noble Education said it intends to file the quarterly report for the period ended November 1, 2025, following completion of the restatement and filing of the annual report and the quarterly report for the period ended August 2, 2025.
