Zefiro founder seeks shareholder meeting to nominate five directors

Dr. Talal A. Debs, founder and director of Zefiro Methane Corp. (Cboe: ZEFI), announced he is nominating five candidates for election to the company's board of directors at the next annual shareholder meeting. The nominees include Debs himself, Richard K. Walker, J. Fife Symington IV, John Michael Lovell, and Ungad Chadda.



Debs, together with X Machina Capital Strategies and X Machina Sustainable Technologies Inc., submitted a requisition for the meeting to be held before year-end. Debs stated the current board has not set a meeting date or record date, despite British Columbia law requiring an annual shareholder meeting each calendar year.



The founder was removed from his CEO position effective June 5, 2025, with Catherine Flax serving as interim CEO. Debs criticized the current board's performance under the new leadership, citing governance failures and lack of strategic direction.



Debs controls 20,914,750 common shares representing 27.488% of outstanding shares through personal holdings and his control of associated entities. He holds 1,068,250 shares directly and controls X Machina Sustainable Technologies Inc. and X Machina Capital Strategies Fund I LP, which own 16,000,000 and 3,846,500 shares respectively.



The nominated slate includes executives with experience across capital markets, technology, agriculture, and financial services. Walker previously served as Zefiro's Chief Technology Officer from September 2024 to June 2025. Chadda served as former president of the Toronto Stock Exchange and currently leads Global Uranium Corp.



Debs stated he is not currently soliciting proxies but may file a dissident information circular in compliance with corporate and securities laws. All solicitation costs will be borne by X Machina Capital Strategies.
