Keurig Dr Pepper Inc. (NASDAQ: KDP) announced it will add two independent directors to its board and restructure its committee organization effective March 2.
Amie Thuener, Vice President, Corporate Controller and Chief Accounting Officer at Alphabet Inc., and William Newlands, President and CEO of Constellation Brands Inc., will join the board. Thuener will serve on the Audit & Finance Committee, while Newlands will serve on the newly created Nominating & Governance Committee.
The company will separate its existing Remuneration & Nominating Committee into two distinct committees: the Nominating & Governance Committee and a Compensation Committee.
The governance changes occur as the company prepares for the closing of its JDE Peet's acquisition in early second quarter and plans for a subsequent separation into two independent companies, referred to as "Beverage Co." and "Global Coffee Co."
Thuener brings 30 years of finance and accounting experience, having joined Alphabet in 2013. She previously served as a Managing Director at PwC and as a director on Nordstrom Inc.'s board before its privatization. She holds degrees from the University of California, Santa Barbara.
Newlands has more than 40 years of experience in the beverage alcohol and consumer packaged goods industries. He has served as President and CEO of Constellation Brands for over seven years and will step down from that role in April. He also serves as Chairman of the Board at Hormel Foods Corp. since 2018.
The information is based on a company press release statement.
