Empery Digital rejects board nominations for 2026 annual meeting

Empery Digital Inc. (NASDAQ: EMPD) announced that its board of directors has rejected nomination notices submitted by ATG Capital and Tice P. Brown for the company's 2026 annual meeting of stockholders.

The board determined that both submissions failed to meet requirements outlined in Section 2.5 of the company's advance notice bylaws. The company has sent letters to ATG Capital and Brown detailing the deficiencies in their nomination notices.

According to the announcement, ATG Capital and Brown submitted their nominations at the end of the nomination window, which the board said provided insufficient time for review and opportunity to cure defects in the notices. As a result, neither party is entitled to nominate candidates for board election at the 2026 annual meeting.

The board reviewed the submissions with legal counsel assistance and unanimously concluded that the nominations were invalid. Empery Digital stated that its bylaws are designed to protect the company and shareholders, with advance notice provisions that are publicly disclosed and consistent with market standards for public companies.

Empery Digital will announce the date of its 2026 annual meeting and file proxy materials with the Securities and Exchange Commission at a later time. The company indicated that shareholders are not required to take any action currently.
