flyExclusive acquires Volato aircraft sales unit for $2.1 million

flyExclusive Inc. (NYSEAMERICAN: FLYX) announced it will acquire Volato Group Inc.'s (NYSEAMERICAN: SOAR) aircraft sales division for $2.1 million in stock, according to a company statement.

The transaction grants flyExclusive immediate ownership of the aircraft sales division, which the company projects will generate $6-8 million in profit during the fourth quarter of 2025. The $2.1 million in flyExclusive stock will be distributed directly to Volato shareholders as a dividend.

The agreement also provides flyExclusive with rights to acquire additional technology platforms for $2.0 million in stock. These include Vaunt, a travel app that provides access to private jet empty legs, and Mission Control, flight management software for aviation operations.

"We entered into our original agreement with Volato to provide a unique solution to Volato's customers while maintaining an option to acquire the entire company," said Jim Segrave, Chairman and CEO of flyExclusive. "This structured transaction delivers far greater value, at an attractive multiple on our invested capital."

Matt Liotta, CEO of Volato, stated the transaction "delivers clear, incremental value for Volato shareholders while maintaining full alignment with our planned merger with M2i."

flyExclusive operates approximately 100 jets and provides charter, jet club, and fractional ownership programs. The company is based in Kinston, North Carolina, and maintains in-house repair, paint, and avionics capabilities at its headquarters campus.

The structured agreement allows flyExclusive to expand its software services while avoiding assumption of debt that would not align with its growth strategy, according to the company statement.
