WesBanco to redeem $150M in preferred stock depositary shares
WesBanco Inc. (NASDAQ: WSBC) announced it will redeem all 6 million outstanding depositary shares representing interests in its 6.75% Fixed-Rate Reset Non-Cumulative Perpetual Preferred Stock, Series A on November 15, 2025.
The Wheeling, West Virginia-based bank will pay $25.00 per depositary share, equivalent to $1,000 per share of the underlying preferred stock. The redemption will retire all 150,000 shares of Series A Preferred Stock currently outstanding.
WesBanco will fund the redemption using proceeds from its previously completed public offering of Series B preferred stock depositary shares on September 17, 2025. The Series B shares carry a 7.375% dividend rate.
Trading of the Series A depositary shares (NASDAQ: WSBCP) on the NASDAQ Stock Market will cease following the redemption date. The company will pay the regular quarterly dividend separately on November 15 to shareholders of record as of November 1.
Computershare Trust Company serves as depositary and transfer agent for the securities. Investors holding beneficial interests should contact their bank or broker regarding redemption payments.
