Veralto acquires GlobalVision, completes $300 million share buyback

Veralto Corporation (NYSE: VLTO) announced it has entered a definitive agreement to acquire GlobalVision, a Montreal-based packaging compliance technology company, subject to customary closing conditions.



GlobalVision develops technology that uses proprietary deterministic systems with artificial intelligence to help pharmaceutical and consumer packaged goods companies verify packaging content accuracy and regulatory compliance. The company will be integrated into Veralto's Esko business unit, building on a decade-long partnership between the companies.



GlobalVision has grown sales at a compound annual growth rate of approximately 19% since 2023. The company expects to generate approximately $25 million in sales in 2026, with about 85% on a recurring basis. Its standalone adjusted EBITDA margin for 2026 is projected at approximately 30%, excluding deal-related costs.



The acquisition is expected to be neutral to Veralto's adjusted earnings per share in 2026 and accretive in 2027. The purchase price represents approximately 15 times estimated adjusted EBITDA of $13 million, which includes 2026 standalone adjusted EBITDA plus expected cost synergies by the end of year two.



Separately, Veralto completed share repurchases of approximately 3.2 million shares for about $300 million in the first quarter of 2026. This represents approximately 1.3% of the company's outstanding shares as of February 13, 2026.



"Consumer packaged goods and pharmaceutical companies are facing incredible demands to meet regulatory and brand consistency standards as they introduce new products to market quickly and accurately," said Jennifer L. Honeycutt, Veralto's President and Chief Executive Officer.



Veralto, headquartered in Waltham, Massachusetts, reported annual sales of approximately $5.5 billion and employs about 17,000 people globally. The company provides water and product quality solutions.
