Velo3D prices $17.5 million stock offering, uplists to NASDAQ

Velo3D Inc. (NASDAQ: VELO) priced a public offering of 5.83 million common shares at $3.00 per share, raising approximately $17.5 million in gross proceeds before fees and expenses. The additive manufacturing technology company announced the offering will close around August 20, 2025, subject to standard conditions.



Lake Street Capital Markets serves as the sole book-running manager for the offering. The underwriters received a 30-day option to purchase an additional 875,000 shares at the offering price, minus discounts and commissions.



The company's stock began trading on the Nasdaq Capital Market under the ticker "VELO" on August 19, 2025. Trading under the previous symbol "VLDX" on the OTCQX was suspended at market close on August 18, 2025. The Securities and Exchange Commission declared the company's registration statement effective on August 18, 2025.



Velo3D stated it intends to use net proceeds for working capital, capital expenditures and general corporate purposes. The Fremont, California-based company develops metal 3D printing technology for mission-critical parts used in space exploration, aviation, power generation, energy and semiconductor industries.



The company's integrated manufacturing solution includes Flow print preparation software, Sapphire family printers, and Assure quality control system. Velo3D delivered its first Sapphire system in 2018 and counts SpaceX, Honeywell, Honda, Chromalloy and Lam Research among its customers.
