Seven Hills Realty Trust launches $65 million rights offering

Seven Hills Realty Trust (NASDAQ: SEVN) announced a fully backstopped rights offering to raise up to $65 million in gross proceeds, according to a company press release.

The real estate investment trust will issue transferable subscription rights to shareholders of record as of November 10, 2025. Shareholders will receive one right for each outstanding common share owned, with each two rights allowing the purchase of one new common share at $8.65 per share.

The offering will issue up to 7.6 million common shares and commence November 10, 2025, with rights expiring December 4, 2025, unless extended. The rights are expected to trade on Nasdaq under the symbol "SEVNR."

Tremont Realty Capital LLC, SEVN's manager and a wholly-owned subsidiary of The RMR Group (NASDAQ: RMR), will fully backstop the offering. Under the backstop agreement, Tremont will exercise its subscription rights in full and purchase any remaining unsubscribed shares.

SEVN plans to use proceeds to expand its lending platform and loan portfolio. The company originates and invests in first mortgage loans secured by middle market transitional commercial real estate.

UBS Securities LLC will serve as dealer manager for the offering, which will be conducted under SEVN's existing shelf registration statement. The company reserves the right to extend, amend or terminate the offering subject to certain conditions.

Shareholders who fully exercise their rights will be eligible to subscribe for additional shares that remain unsubscribed, subject to certain limitations and allotment procedures.
