Senseonics to take over Eversense 365 commercialization from Ascensia

September 3, 2025 5:18 PM EDT

Senseonics Holdings Inc. (NYSE American: SENS) announced it signed a memorandum of understanding to transition all commercialization and distribution of Eversense 365 and future products from Ascensia Diabetes Care to Senseonics, beginning January 1, 2026.

Under the agreement, Senseonics would assume responsibility for global sales, marketing and commercialization in the U.S., while utilizing transition service agreements through Ascensia until fully established in international markets. Brian Hansen, currently president of CGM at Ascensia and former chief commercial officer at Tandem Diabetes Care, would join Senseonics as chief commercial officer on January 1, 2026.

Since 2020, Ascensia has held exclusive worldwide distribution rights for Eversense products. The companies are working to develop definitive documentation for the planned transaction, according to the press release.

To fund the commercial organization, Senseonics expanded its non-dilutive debt facility with Hercules Capital Inc. (NYSE: HTGC) up to $100 million. The company expects immediate revenue improvement and gross margin expansion to 50% in 2026, with planned increases to more than 70% gross margins at scale.

"I'm thrilled to bring Eversense 365 commercialization back in-house and directly control investment in growing the brand to better serve the needs of patients and providers," said Tim Goodnow, president and CEO of Senseonics.

Senseonics maintained its full-year 2025 global net revenue outlook of approximately $34-38 million. The company expects gross margins between 32.5% and 37.5% for the full year and cash used in operations of approximately $60 million.

The Eversense 365 is a continuous glucose monitoring system with a sensor that can remain implanted for up to one year. The transition aims to unify commercial activities within Senseonics and eliminate revenue sharing with Ascensia.
