PlusAI and Churchill Capital file amended S-4 for business combination

PlusAI, an autonomous truck software company, and Churchill Capital Corp IX (NASDAQ: CCIX) filed an amended registration statement on Form S-4 with the Securities and Exchange Commission for their proposed business combination. The filing represents the second amendment to the registration statement, following an initial amendment on December 5, 2025.

The registration statement includes a preliminary proxy statement and prospectus that has not yet been declared effective by the SEC. The business combination remains subject to Churchill IX shareholder approval, SEC effectiveness of the registration statement, and other customary closing conditions.

Upon completion, the combined company will operate under the name "PlusAI" and is expected to trade on Nasdaq under the ticker symbol "PLS." The transaction is expected to close in the first quarter of 2026.

PlusAI reported its Safety Case Readiness metric at 86% for the first half of 2025, compared to 75% in the second half of 2024. The company has initiated customer fleet trials in Texas along the I-35 corridor between Laredo and Dallas using International Trucks equipped with its SuperDrive autonomous driving software.

The Santa Clara-based company has partnerships with truck manufacturers including TRATON GROUP brands International, Scania, and MAN, as well as Hyundai and IVECO. PlusAI is developing its technology for commercial launch of autonomous trucks planned for 2027.
