PSQ Holdings nominates fintech executive James Celli to board

PSQ Holdings Inc. (NYSE: PSQH) announced that Nicholas Ayers will not be renominated to the company's board of directors at the 2026 annual meeting of stockholders. Ayers has served on the board since the company's initial public offering in July 2023.
The payments and financial infrastructure company also announced the nomination of James Celli for election to the board at the upcoming 2026 annual shareholder meeting. If elected, Celli will serve as an independent director.
"Nick's service on the Board has been exemplary. He was one of our earliest investors and has been a steady hand, helping guide us through our transition to a fintech-focused organization," said Dusty Wunderlich, chairman and chief executive of PSQ Holdings.
Celli founded LoanPaymentPro, a specialized payment processor that was acquired by Nuvei (NASDAQ: NVEI) in 2024. Under his leadership, LoanPaymentPro grew to process more than $6 billion in annual payment volume across 350 merchant clients.
The executive has founded more than 13 companies during his career, achieving four exits ranging from mid-seven to nine figures. His ventures have been recognized on the Inc. 500 list of fastest-growing private companies for two consecutive years.
Celli currently serves as a family office principal at Celli Holdings LLC and advises several technology-driven businesses. He holds a bachelor's degree in computer engineering from the University of Illinois Chicago.
PSQ Holdings operates financial infrastructure in regulated environments for industries underserved by traditional financial institutions, including businesses, campaigns, and nonprofits.
