North American Niobium announces $1 million private placement

North American Niobium and Critical Minerals Corp. (CSE: NIOB) (FSE: IOR) (OTCQB: NIOMF) announced a non-brokered private placement of up to 689,655 flow-through common shares at $1.45 per share for gross proceeds of up to $1 million.



The company will pay finders' fees of up to 7% of gross proceeds and issue non-transferable finders' warrants for up to 7% of the flow-through shares sold. Each warrant will allow the holder to purchase one common share at $1.45 for 24 months from issuance.



Proceeds will fund Canadian exploration expenses in Quebec that qualify as flow-through critical mineral mining expenditures under Canada's Income Tax Act. The company agreed to renounce qualifying expenditures by December 31, 2025, and incur expenses by December 31, 2026.



The offering requires corporate and regulatory approvals, including from the Canadian Securities Exchange. Securities issued will be subject to a four-month statutory hold period plus one day from issuance.



"This flow-through financing provides us with the resources to advance our exploration programs in Quebec in a meaningful way," said Murray Nye, chief executive officer.



North American Niobium focuses on precious, base, and critical mineral assets. Its portfolio includes the Silver Lake property in British Columbia and recently acquired land in Quebec's Grenville Province with exposure to rare earth elements, niobium, and nickel-copper occurrences.
