September 19, 2025 8:30 AM EDT

Newmont Corporation (NYSE: NEM) completed the sale of its entire stake in Orla Mining Ltd., disposing of 43 million common shares at $10.14 per share for gross proceeds of $439 million, according to a company statement.

The gold mining company sold the shares through the Toronto Stock Exchange facilities. Prior to the transaction, Newmont held approximately 13.3% of Orla's outstanding shares on a non-diluted basis and no longer maintains any ownership in the company.

The sale is part of Newmont's broader equity portfolio streamlining efforts. The company stated it generated approximately $900 million in after-tax proceeds from equity holdings sales in 2025.

"Today's announcement demonstrates Newmont's ongoing commitment to streamlining our equity portfolio and unlocks significant cash to support Newmont's capital allocation priorities," said Tom Palmer, Newmont's Chief Executive Officer.

Orla Mining's portfolio includes former Newmont assets. Earlier this year, Orla acquired Musselwhite from Newmont. Jason Simpson, Orla's President and CEO, said the company remains focused on executing its growth strategy and creating long-term stakeholder value.

Newmont indicated it may adjust its future ownership in Orla securities depending on market conditions and other factors. The company will file an early warning report in accordance with applicable securities laws.

Denver-based Newmont operates as a gold producer with additional copper, zinc, lead, and silver production across mining jurisdictions in Africa, Australia, Latin America, North America, and Papua New Guinea.
