Nevada King Gold plans 5-to-1 share consolidation effective May 7

Nevada King Gold Corp. (TSXV: NKG) (OTCQB: NKGFF) announced it will consolidate its common shares on a 5-to-1 basis, with the new share structure taking effect May 7, 2026.



The company's board of directors approved the consolidation under British Columbia's Business Corporations Act. Following the consolidation, Nevada King will issue one new common share for every five currently outstanding shares.



Nevada King currently has 501,834,569 common shares outstanding. After the consolidation, the company expects approximately 100,366,913 shares to remain outstanding, subject to rounding adjustments. Fractional shares of 0.5 or greater will be rounded up, while those below 0.5 will be rounded down without compensation.



The company will maintain its current name and "NKG" trading symbol. New ISIN and CUSIP numbers will be CA64135V2049 and 64135V204, respectively. Outstanding stock options will be proportionally adjusted according to their terms.



"This strategic consolidation is a key step in Nevada King's evolution to a more institutional capital structure," said CEO John Sclodnick. "By optimizing our share count and increasing our share price, we are effectively removing barriers that have previously prevented some institutional investors from owning our shares."



Alliance Trust Company, the company's transfer agent, will send letters of transmittal to registered shareholders with instructions for exchanging pre-consolidation certificates. Beneficial shareholders holding shares through brokers should contact their intermediaries to arrange exchanges.



Nevada King operates the Atlanta Gold Mine project in Nevada, which spans 130 square kilometers along the Battle Mountain trend. The project contains a measured and indicated resource of 1,020,000 ounces of gold and an inferred resource of 99,000 ounces.
