NeuroSense raises $500,000 in private placement at 40% premium

NeuroSense Therapeutics Ltd. (NASDAQ: NRSN) announced it has entered into a definitive agreement for a $500,000 private placement of ordinary shares with a single investor.
The biotechnology company will issue 333,334 ordinary shares at $1.50 per share, representing a 40% premium to the closing price on September 3, 2025. The private placement is expected to close on September 8, 2025, subject to customary conditions.
The company plans to use proceeds from the financing for general corporate purposes and working capital. According to the press release, this marks the company's third financing with private investors at a premium to market price.
"This ordinary share only investment serves as a short-term bridge as we continue to advance our activities and prepare for our next stage of growth," said Alon Ben-Noon, CEO of NeuroSense.
The offering is being made under an exemption from registration under Section 4(a)(2) of the Securities Act and Regulation D. The securities have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption.
NeuroSense is a clinical-stage biotechnology company focused on developing treatments for neurodegenerative diseases including amyotrophic lateral sclerosis (ALS), Alzheimer's disease and Parkinson's disease. The company's strategy involves developing combined therapies targeting multiple pathways associated with these diseases.
