Mineros evaluates corporate re-domiciliation, calls shareholder meeting

Mineros S.A. (TSX: MSA) announced that its board of directors has initiated an evaluation of a potential corporate re-domiciliation or related reorganization involving the company's jurisdiction of incorporation, according to a press release statement.

The Colombia-based gold mining company is assessing legal, fiscal, regulatory, and operational implications of reorganizing its corporate structure. Any reorganization could involve a statutory merger between Mineros and a newly incorporated successor entity.

The board has called a special meeting of shareholders for April 30, 2026, with a record date of March 11, 2026. The meeting will consider approval of a special resolution authorizing a proposed merger agreement that could enable a potential re-domiciliation or related corporate reorganization.

The company stated that no definitive decision has been made regarding any re-domiciliation or reorganization. The meeting has been convened on a precautionary basis to preserve procedural flexibility while the board's evaluation continues.

Under applicable corporate law, a statutory merger requires approval by the General Shareholders Assembly. The company's audited financial statements as of December 31, 2025, would serve as the basis for any potential merger, and the legal framework requires a shareholders' meeting within a prescribed period.

Any board recommendation to proceed would require completion of comprehensive due diligence, board approval, and satisfaction of customary conditions, including receipt of required regulatory and stock-exchange approvals.

Mineros operates a portfolio of assets in Colombia and Nicaragua and maintains development and exploration projects across the region, including the La Pepa Project in Chile. The company's shares trade on the Toronto Stock Exchange under MSA, the Colombian Stock Exchange under MINEROS, and the OTCQX market under MNSAF.
