Longeveron prices $5 million public offering with warrants

Longeveron Inc. (NASDAQ: LGVN) announced the pricing of a public offering of 5,882,354 shares of Class A common stock and accompanying warrants at $0.85 per share. The biotechnology company expects gross proceeds of approximately $5 million from the initial offering.



The offering includes short-term warrants to purchase up to 14,705,885 additional shares at $0.85 per share. These warrants will be exercisable immediately upon issuance for 24 months. If fully exercised, the warrants could generate an additional $12.5 million in gross proceeds.



H.C. Wainwright & Co. is serving as the exclusive placement agent for the offering, which is expected to close on or about August 11, 2025, subject to customary closing conditions. Company board members and insiders are participating in the offering on the same terms.



Longeveron stated it intends to use net proceeds to fund clinical and regulatory development of its lead product candidate laromestrocel for multiple indications including hypoplastic left heart syndrome, Alzheimer's disease, and pediatric dilated cardiomyopathy. Additional funds will support regulatory approvals, manufacturing activities, capital expenditures and general corporate purposes.



The Miami-based company develops cellular therapies for pediatric and aging-related conditions. Its lead investigational product is an allogeneic mesenchymal stem cell therapy derived from bone marrow of young adult donors.



The securities are being offered under a registration statement on Form S-1 that became effective August 8, 2025, according to the company's statement.
