Lilly to acquire Ventyx Biosciences for $1.2 billion in cash

Eli Lilly and Company (NYSE: LLY) announced it will acquire Ventyx Biosciences, Inc. (NASDAQ: VTYX) for $14.00 per share in an all-cash transaction valued at approximately $1.2 billion.

The acquisition price represents a 62% premium to Ventyx's 30-day volume-weighted average trading price through January 5, 2026. The transaction is expected to close in the first half of 2026, pending Ventyx stockholder approval and regulatory clearances.

Ventyx, based in San Diego, develops oral therapies targeting inflammatory-mediated diseases. The company's clinical pipeline includes small molecule therapeutics, particularly NLRP3 inhibitors, designed to treat inflammation across cardiometabolic disorders, neurodegenerative diseases and inflammatory disorders.

"There is increasing evidence that inflammation is a key driver of many chronic diseases," said Daniel M. Skovronsky, Lilly's chief scientific and product officer. "Ventyx's clinical-stage pipeline addresses a critical need for better treatment options across diseases mediated by chronic inflammation."

Raju Mohan, Ventyx's chief executive officer, said the company's NLRP3 inhibitors target inflammation recognized as a risk factor in neuroinflammatory, cardiometabolic and cardiovascular diseases.

Both companies' boards of directors have approved the deal. Entities affiliated with New Science Ventures and all Ventyx directors and officers have signed voting agreements to support the transaction, representing approximately 10% of Ventyx's outstanding shares.

BofA Securities serves as Lilly's financial advisor, while Jefferies and Moelis & Company advise Ventyx.
