Kaspi.kz expects Rabobank acquisition to close in mid-2026

Kaspi.kz (NASDAQ: KSPI) provided an update on its acquisition of Rabobank A.Ş., the Turkish subsidiary of Rabobank Group, according to a company statement.
The Kazakhstan-based company signed a share purchase agreement with Rabobank Group on March 27, 2025, to acquire the Turkish banking subsidiary. The transaction remains subject to regulatory approvals and customary closing conditions.
Kaspi.kz now expects the transaction to close in mid-2026, representing a delay from earlier projections. The company did not specify reasons for the revised timeline.
The acquisition would add to Kaspi.kz's existing Turkish operations, where it already holds a 69.46% stake in Hepsiburada, an e-commerce company. Kaspi.kz operates through two mobile applications - the Kaspi.kz Super App for consumers and Kaspi Pay Super App for merchants - providing payments, marketplace, and financial technology services.
The company has been listed on Nasdaq since January 2024.
