Invesco Mortgage Capital announces board leadership transitions

Invesco Mortgage Capital Inc. (NYSE: IVR) announced several board leadership changes, including the retirement of Board Chair John Day effective December 31, 2025, according to a company statement.

Day has served on the board since the company's formation in 2009. His retirement follows the company's director retirement policy.

Don Liu, current chair of the Nomination and Corporate Governance Committee, will assume the role of Board Chair beginning November 4, 2025. Liu joined the board in 2022 and has overseen succession planning and governance initiatives.

Wes McMullan will replace Liu as chair of the Nomination and Corporate Governance Committee, also effective November 4, 2025.

Carolyn Handlon, who chairs the Audit Committee, will not seek re-election at the 2026 annual meeting for personal reasons. Handlon joined the board in 2017 and previously chaired the Compensation Committee for five years before taking her current role in 2023.

Robert Fleshman, designated as one of the board's audit committee financial experts, will become Audit Committee Chair effective January 1, 2026. The board plans to search for an independent director to join before the 2026 annual meeting.

Executive director Carolyn Gibbs will retire from the board effective March 31, 2026, following her retirement from Invesco Ltd. (NYSE: IVZ) after nearly 33 years with the company. The board intends to elect a new executive director before her departure.

"We have focused on board succession, board leadership succession and thoughtful transition planning over these past two years since the adoption of our director retirement policy," Liu stated.

Invesco Mortgage Capital is a real estate investment trust that invests in mortgage-backed securities and related assets.
