ISS backs ZIM board nominees ahead of Dec. 26 shareholder meeting

Institutional Shareholder Services recommended shareholders of ZIM Integrated Shipping Services Ltd. (NYSE: ZIM) vote for all eight company director nominees and against three candidates proposed by dissident shareholders for the annual meeting scheduled for December 26, 2025.

The proxy advisory firm stated the dissident shareholders "have not provided a compelling or sufficient rationale to support the proposed candidates or to demonstrate that a change to the board is warranted." ISS noted the proposed nominees "appear to have either no or limited experience in the industry in which the company operates."

ISS also found the dissident group "have made no attempt to work constructively with the board nor provided any suggestions for improving the company's business or any other insight into how to create long-term value for shareholders."

The recommendation supports ZIM's current board slate against nominees Keren Bar-Hava, Ron Hadassi and Ran Gritzerstein proposed by the dissident shareholders.

"ISS's independent analysis concluded that the dissident group's nominees lack relevant experience for overseeing our business or participating in the ongoing strategic review," said Yair Seroussi, Chairman of ZIM's Board of Directors.

ZIM's board is conducting a strategic review with independent financial and legal advisors. The company has retained Sodali & Co as its proxy solicitor for the shareholder meeting.
