GAMCO elects cash for Paramount voting shares in Skydance deal
GAMCO Asset Management Inc., an affiliate of GAMCO Investors, Inc. (OTCQX: GAMI), filed a 13D with the Securities and Exchange Commission on July 31, 2025, electing to receive cash for all class A voting shares of Paramount Global (NASDAQ: PARAA) held on behalf of clients.
GAMCO and certain affiliates collectively owned approximately 12.0% of Paramount's outstanding class A voting stock as of July 31, 2025. The investment firm stated that the terms of Paramount's pending combination with Skydance Media provide no opportunity for current holders of class A voting stock to continue holding such shares.
The company described itself as being "effectively forced to receive cash" for the voting shares under the transaction structure. GAMCO made the cash election for all class A shares held according to the SEC filing.
GAMCO Investors manages assets through private advisory accounts, mutual funds and closed-end funds under its subsidiaries GAMCO Asset Management and Gabelli Funds, LLC. The firm employs what it calls a "Private Market Value with a Catalyst" investment approach.
The information was disclosed in a company statement filed with securities regulators.
