FUBO shareholders approve Disney Hulu + Live TV business combination

FuboTV Inc. (NYSE: FUBO) announced that its shareholders approved the previously announced transaction to combine Fubo's business with The Walt Disney Company's Hulu + Live TV business.

The transaction was approved at a special shareholder meeting held today. The deal remains subject to regulatory approvals and other customary closing conditions, according to the company's press release statement.

Under the agreement terms announced in January 2025, Disney will own approximately 70% of Fubo upon closing. Fubo Co-founder and CEO David Gandler will lead the existing management team in operating the combined Fubo and Hulu + Live TV businesses.

Both Fubo and Hulu + Live TV will continue as separate consumer offerings after the transaction closes. The companies stated the combination will provide programming packages addressing various consumer preferences at different price points.

Upon closing, all outstanding Fubo common stock will convert to Class A Common Stock, which will continue trading on the New York Stock Exchange under the FUBO ticker symbol.

"The Transaction remains subject to regulatory approvals and other customary closing conditions, but today we are one step closer to fulfilling our vision of a streaming marketplace that provides consumers with greater choice and flexibility," Gandler said.

Fubo will report the special meeting results through a Form 8-K filing with the Securities and Exchange Commission. The sports-focused live TV streaming platform operates in the United States, Canada, and Spain, offering more than 400 live sports, news and entertainment networks in the U.S. market.
