FOX announces secondary offering of 16.9 million Class B shares
FOX Corporation (NASDAQ: FOXA, FOX) announced that trusts established for the benefit of Prudence MacLeod, Elisabeth Murdoch and James Murdoch and their respective descendants and charitable organizations will offer 16,926,837 shares of the company's Class B common stock in an underwritten public offering.
The selling stockholders will receive all proceeds from the offering. FOX is not selling any shares and will not receive any proceeds from the transaction. Morgan Stanley is serving as the sole underwriter for the offering.
The offering is subject to market and other conditions, with no assurance regarding completion timing or whether it will be completed at all. The Class B common stock has a par value of $0.01 per share.
FOX has previously filed a registration statement on Form S-3 with the U.S. Securities and Exchange Commission and plans to file a preliminary prospectus supplement for the offering. The offering will be conducted only through an effective registration statement and prospectus.
The announcement was made based on a company press release statement. FOX Corporation operates through brands including FOX News Media, FOX Sports, Tubi Media Group, FOX Entertainment and FOX Television Stations.
