EnviroGold announces $5 million private placement at C$0.09 per unit

EnviroGold Global Limited (CSE: NVRO | OTCQB: ESGLF | FSE: YGK) announced a non-brokered private placement to raise up to $5 million through the issuance of units priced at C$0.09 each.



Each unit consists of one common share and one transferable warrant. The warrants allow holders to purchase additional shares at C$0.13 for three years from the closing date. The company stated it has secured several lead orders for the offering.



Proceeds will fund technology and engineering completion, demonstration plant campaigns, debt reduction, and general working capital. The offering is expected to close in one or more tranches by October 15, 2025, subject to regulatory approvals including acceptance by the Canadian Securities Exchange.



Securities issued will be subject to a four-month and one-day statutory hold period under Canadian securities laws. The company may pay finder's fees in cash or warrants to eligible parties as permitted by law and exchange policies.



Directors and officers may participate in the offering, constituting a related party transaction under Multilateral Instrument 61-101. The company anticipates relying on exemptions from formal valuation and minority shareholder approval requirements, as the value is not expected to exceed C$2.5 million.



EnviroGold operates as a clean technology company that processes mine waste into metals. The company uses a technology license fee model and targets the extraction of precious and strategic metals from mining waste and tailings.



The securities have not been registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States without registration or applicable exemption.
