Enovix stock triggers early warrant expiration conditions

Enovix Corporation (NASDAQ: ENVX) announced its common stock has traded above $10.50 for five consecutive trading days, triggering conditions that could lead to early expiration of its warrants (NASDAQ: ENVXW).

The company's stock closed at $15.06 per share, with warrants currently in-the-money based on their $8.75 exercise price. The earliest possible expiration date for the warrants is August 19, 2025.

According to the warrant agreement terms, Enovix can accelerate the expiration date if its stock trades above $10.50 for 20 out of 30 trading days and other conditions are met. The company stated it intends to proceed with early expiration on or shortly after August 19, 2025, subject to meeting these requirements.

"If our stock trades above $10.50 for 20 out of 30 trading days, this notice gives Enovix the right—but not the obligation—to accelerate the expiration date of the Warrants to as early as August 19, 2025," said Ryan Benton, Chief Financial Officer. "With five trading days already above that level, we're simply reserving this right in advance."

Enovix reserved the right to set an alternate expiration date for the warrants under the terms of the warrant agreement. The company indicated it would issue additional notice if it decides to proceed with early expiration.

The warrants remain exercisable and tradable through their expiration date. Warrant holders can find additional information about exercise mechanics and terms in the company's SEC filings.
