DeFi Technologies prices $100 million stock offering led by Galaxy Digital

DeFi Technologies Inc. (NASDAQ: DEFT) (CBOE CA: DEFI) announced it entered into a securities purchase agreement with institutional investors led by Galaxy Digital (NASDAQ: GLXY) for a $100 million registered direct offering.
The investors agreed to purchase 45,662,101 shares of common stock and warrants to purchase up to 34,246,577 additional shares at a combined price of $2.19 per share and three-quarters of one warrant, according to the company's statement.
The warrants carry an exercise price of $2.63 per share, representing a 120% premium to the offering price. The warrants become exercisable immediately upon issuance and expire three years from the issuance date, subject to acceleration features based on share price appreciation.
The offering is expected to close on September 26, 2025, pending customary closing conditions including regulatory approvals from the Cboe Canada Exchange and notification to the Nasdaq Capital Market Exchange.
Joseph Gunnar & Co., LLC serves as the exclusive placement agent for the transaction.
DeFi Technologies will receive gross proceeds of $100 million before deducting placement agent fees and other offering expenses. The company plans to use net proceeds for general corporate purposes, including working capital funding.
The offering operates under the company's short form base shelf prospectus dated September 4, 2025, filed with Canadian securities regulatory authorities and the corresponding registration statement on Form F-10 filed with the U.S. Securities and Exchange Commission under the U.S./Canada Multijurisdictional Disclosure System.
DeFi Technologies operates as a financial technology company connecting traditional capital markets with decentralized finance through subsidiaries including Valour, Stillman Digital, Reflexivity Research, Neuronomics, and DeFi Alpha.
