DarioHealth raises $17.5 million in private placement at $6.45 per share

DarioHealth Corp. (NASDAQ: DRIO) announced a private placement involving the sale of 2,713,180 shares of common stock at $6.45 per share for expected gross proceeds of approximately $17.5 million before deducting offering expenses.
The closing of the offering is expected to occur on September 23, 2025, subject to customary closing conditions. The company stated it intends to use the net proceeds for general corporate purposes.
The offering is being conducted under an exemption from registration requirements under Section 4(a)(2) of the Securities Act of 1933 and Regulation D. DarioHealth has agreed to file a registration statement with the Securities and Exchange Commission to register the resale of the shares sold in the private placement.
The securities offered in the private placement may not be offered or sold in the United States except pursuant to an effective registration statement or an applicable exemption from registration requirements under the Securities Act and applicable state securities laws.
DarioHealth operates as a digital health company providing a multi-chronic condition digital therapeutics platform. The company offers solutions for diabetes, hypertension, weight management, musculoskeletal pain and behavioral health to health plans, employers, healthcare providers and consumers.
