Broadwood Partners opposes STAAR Surgical sale to Alcon

Broadwood Partners, which holds approximately 27.5% of STAAR Surgical Company (NASDAQ: STAA), published a presentation urging stockholders to vote against the proposed acquisition by Alcon Inc. (NYSE: ALC).

The investment firm released an 81-page presentation detailing its opposition to the merger announced on August 5, 2025. Broadwood argues the transaction occurs at an inappropriate time, follows a flawed process, and undervalues the company.

"We believe that there was no compelling reason to sell STAAR at this time," said Neal Bradsher, President of Broadwood. "Moreover, the Board of Directors failed to conduct a sale process in a responsible manner and ultimately agreed to a price that significantly undervalues STAAR and its bright future."

Broadwood noted that two other stockholders have publicly opposed the transaction: Yunqi Capital Limited, which owns 5.1% of STAAR's common stock, and David Bailey, the former CEO of STAAR.

STAAR Surgical stockholders are scheduled to vote on the merger at a special meeting on October 23, 2025. Broadwood has filed a definitive proxy statement and accompanying green proxy card with the Securities and Exchange Commission in connection with its opposition campaign.
