BriaCell prices $30 million public offering at $5.59 per unit
BriaCell Therapeutics Corp. (NASDAQ: BCTX, BCTXL) (TSX: BCT) announced the pricing of a public offering of 5,366,726 units at $5.59 per unit, generating gross proceeds of approximately $30 million before fees and expenses.
Each unit consists of one common share or pre-funded warrant and one warrant. The warrants will be listed on the Nasdaq Capital Market under the symbol "BCTXL" starting January 14, 2026. Each warrant allows the holder to purchase one common share at an exercise price of $6.93 per share and expires five years from issuance.
The offering is expected to close on January 15, 2026, subject to customary closing conditions. ThinkEquity serves as the sole placement agent for the transaction.
BriaCell plans to use the net proceeds for working capital requirements, general corporate purposes and advancing business objectives. The Philadelphia and Vancouver-based clinical-stage biotechnology company develops immunotherapies for cancer treatment.
The Securities and Exchange Commission declared the company's registration statement effective on January 13, 2026. The offering relies on an exemption under Section 602.1 of the TSX Company Manual for eligible interlisted issuers on recognized exchanges.
