Bombardier launches $250 million bond offering to repay existing debt

Bombardier Inc. announced the launch of a $250 million offering of 6.75% senior notes due 2033. The notes will form a single series with the company's existing $500 million of 6.750% senior notes due 2033 that were issued on May 29, 2025.



The company plans to use proceeds from the offering, along with cash on hand, to repay outstanding debt. This includes the redemption of all remaining 7.125% senior notes due 2026, which have $166.3 million in aggregate principal amount outstanding, and approximately $84 million of its 7.875% senior notes due 2027.



The proceeds will also cover accrued interest and related fees and expenses. As of the announcement date, $183.1 million in aggregate principal amount of the 2027 notes remains outstanding.



The offering and planned debt redemptions are subject to market and other conditions. Bombardier stated there is no assurance the transactions will be completed on the described terms or at all. The debt redemptions are expected to be conditional on completing the new note offering.



The securities will not be registered under the U.S. Securities Act of 1933 and may only be offered to qualified institutional buyers under Rule 144A in the United States. In Canada, the securities will be offered on a private placement basis to accredited investors under applicable prospectus exemptions.
