ALT5 Sigma Corporation (NASDAQ: ALTS) appointed Zach Witkoff as chairman of its board of directors, effective upon closing of a previously announced $1.5 billion registered direct offering and concurrent private placement, according to a company statement.

Witkoff serves as co-founder and CEO of World Liberty Financial, Inc., which operates behind the USD1 stablecoin. The financing marks the launch of ALT5's $WLFI Treasury Strategy, through which the company will hold approximately 7.5% of the total supply of $WLFI tokens upon closing.

Eric Trump joins ALT5's board of directors as part of the leadership expansion following the transaction closing. The company also added Zak Folkman as board observer and Matt Morgan as chief investment officer.

ALT5 reported it currently trades at a multiple net asset value of 0.92x based on market prices as of August 12, 2025. The Las Vegas-based fintech company specializes in turnkey cryptocurrency-related solutions for institutions and merchants.

"By issuing equity at prices above multiple net asset value per share and using those proceeds to acquire additional digital assets, ALT5 believes that it can grow the number of tokens per share in a highly accretive manner," Witkoff stated in the press release.

The company operates two main platforms: ALT5 Pay, a cryptocurrency payment gateway, and ALT5 Prime, an over-the-counter trading platform. ALT5 has processed over $5 billion in cryptocurrency transactions since its 2018 founding.

ALT5 is also advancing the separation of its biotech business, which will continue under Alyea Therapeutics Corporation, focusing on non-addictive pain-relieving drugs including a novel formulation of low-dose naltrexone for treating Complex Regional Pain Syndrome.
