On May 27, 2025, Eos Energy Enterprises (NASDAQ: EOSE) terminated the employment of its Chief Financial Officer (“CFO”), Eric Javidi, effective immediately. Mr. Javidi’s termination was not related to the Company’s financial or operating results or to any disagreements or concerns regarding the Company’s financial or reporting practices. Mr. Javidi was terminated “without cause” under the terms of his offer letter from the Company (the “Offer Letter”) and, subject to his compliance with the terms of the Offer Letter, Mr. Javidi will be entitled to the payments and benefits provided for by the Offer Letter following a termination without cause. There are no family relationships between Mr. Javidi and any other officer or any of the directors of the Company. There are no transactions in which Mr. Javidi has an interest requiring disclosure under Item 404(a) of Regulation S-K.
Effective as of May 27, 2025, the Company appointed its current Chief Commercial Officer, Nathan Kroeker, the Company’s former CFO, as the Company’s interim CFO while the Company conducts a search for a new CFO. Mr. Kroeker will continue to serve as the Company’s Chief Commercial Officer during his time as interim CFO and will not receive any additional compensation in connection with his role as interim CFO.
